stock at an offering price of $16.26 per share and, in lieu of shares of common stock, pre-funded warrants to purchase up to an aggregate of 615,025 shares of common stock at a purchase price of $16.259 per pre-funded warrant, which equals the offering price per share of the common stock less the $0.001 per share exercise price of each pre-funded warrant. The closing of the offering is expected to take place on or about December 30, subject to the satisfaction of customary closing conditions. The gross proceeds of the offering will be approximately $20M before deducting placement agent fees and other estimated offering expenses payable by the Company.
