KANSAS CITY, Mo.--(BUSINESS WIRE)--Hostess Brands, Inc. (the “Company”) (Nasdaq: TWNK) today announced the launch of a public offering of 12 million shares of its Class A common stock held by C. Dean Metropoulos, the Company’s Chairman, and entities controlled by him. The Company will not issue shares in the offering and will not receive any proceeds from the sale of the shares by the selling stockholders in this offering.Morgan Stanley & Co. LLC is acting as the sole book-running manager for the offering and proposes to offer the shares of Class A common stock from time to time for sale in one or more transactions on the Nasdaq Capital Market, in the over-the-counter market, through negotiated transactions or otherwise at prevailing market prices, at prices related to prevailing market prices or at negotiated prices.This offering will be made only by means of a prospectus and related prospectus supplement forming a part of the registration statement initially filed by the Company
