The deal will see Prosus offload around 13.58 million ordinary shares in the Berlin-based food delivery company at €20 per share. Prosus is trimming its position in Delivery Hero to meet obligations set by the European Commission (EC) in connection with its acquisition of Just Eat Takeaway.com. The EC cleared that acquisition in August 2025 on the condition that Prosus would sharply reduce its shareholding in Delivery Hero to ease concerns about competition in the food delivery market. In a statement, Prosus said that the transaction represents “a step towards fulfilling those commitments”. The deal will reduce the investment company's interest in Delivery Hero from 26.3% to 21.8% of the issued share capital. Prosus added that it is committed to disposing of the remaining Delivery Hero holding within the stipulated deadline.
