announced that, subject to market and other conditions, it intends to offer, with its wholly-owned subsidiary, USA Compression Finance Corp., $750.0 million in aggregate principal amount of senior unsecured notes due 2033 in a private placement to eligible purchasers. The Partnership intends to use the net proceeds from the offering, together with borrowings under its credit agreement, for the redemption of all of its 6.875% senior notes due 2027 (the "Senior Notes 2027") and to pay the fees and expenses incurred in connection with this offering and the redemption of the Senior Notes 2027. Pending the use of the net proceeds to fund a portion of the redemption of the Senior Notes 2027, the Partnership may temporarily apply such net proceeds to repay outstanding borrowings under its credit agreement.
