that the Company's Board of Directors (the “Board”) unanimously approved an amendment (the “Amendment”) to the Company's existing shareholder rights plan (the “Rights Plan”) pursuant to which the final expiration date has been accelerated from October 11, 2026 to April 17, 2026.
