LOS ANGELES, Nov. 24, 2025 (GLOBE NEWSWIRE) -- XMax Inc., a Nevada corporation (“XMax” or the “Company”) (NASDAQ: XWIN) today announced that on November 18, 2025, it entered into a Convertible Promissory Note Purchase Agreement with Billiongold Holding Limited, pursuant to which the Company issued a convertible promissory note in the principal amount of US$5,000,000. The note matures 36 months after funding, bears interest at 6% per annum, and is convertible at the holder’s option into shares of the Company’s common stock at a price of US$7.80 per share at any time prior to repayment in full. The note was issued in a transaction exempt from registration under Regulation S under the U.S. Securities Act of 1933, as amended. About XMax Inc.
