BOULDER, Colo.--(BUSINESS WIRE)--Zayo Group Holdings, Inc. (NYSE: ZAYO) today announces the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the "HSR Act"), in connection with the previously announced acquisition by affiliates of Digital Colony Partners (“Digital Colony”) and the EQT Infrastructure IV fund (“EQT” or “EQT Infrastructure”). The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the pending transaction.Upon closing of the transaction, Zayo shareholders will receive $35.00 in cash per share of Zayo's common stock in a transaction valued at $14.3 billion, including the assumption of $5.9 billion of Zayo’s net debt obligations.
