NEW YORK April 1, 2026 /PRNewswire/ -- Hoth Therapeutics, Inc. (Nasdaq: HOTH), a clinical-stage biopharmaceutical company focused on developing innovative therapies for unmet medical needs, today announced that it has entered into a definitive agreement for the purchase and sale of an aggregate of 2,857,144 shares of its common stock (or common stock equivalents in lieu thereof) at an offering price of $0.70 per share of common stock (or per common stock equivalent in lieu thereof), in a registered direct offering. Additionally, in a concurrent private placement, the Company issued and sold unregistered warrants to purchase up to an aggregate of 2,857,144 shares of common stock at an exercise price of $0.85 per share. The unregistered warrants will become exercisable six months following the date of issuance and will expire five and one-half years following the date of issuance.
