Paris, 2 March 2026 The Board of Directors, upon the recommendation of the Nomination and Corporate Governance Committee, approved the proposed renewals and appointments of directors, ahead of the Combined Shareholders' General Meeting to be held on 27 May 2026. The Board of Directors invites the General Meeting of 27 May 2026 to vote on the appointment of a new director (Dame Clara Furse) and a director co-opted since September 2025 (Mrs Laura Barlow), as well as the renewal of two directors (Mr. Jérôme Contamine and Mrs Diane Côté). Mr. Lorenzo Bini Smaghi, independent director for twelve years (date of first appointment: 2015) as of the date of the General Meeting of 27 May 2026, has a term of office that is coming to an end. If his term of office were to be renewed, he would no longer meet the independence criteria set out in the AFEP-MEDEF Code.
