and a publicly traded new NFE , cutting corporate debt from about $5.7 billion to roughly $527 million and leaving existing shareholders with a stake; management expects completion in mid-2026 with creditor support above 75% for most classes. The post-restructure capital structure targets 2–3x EBITDA , featuring a five-year term loan (PIK option for 18 months) and $2.5 billion of preferred equity with step-up coupons that is mandatorily convertible at maturity, meaning creditors take a material equity position in the company. Management also negotiated roughly $616 million of balance-sheet and vessel liability relief plus ongoing cost cuts (operating and SG&A reductions to about $100 million ), and forecasts adjusted EBITDA of about $400 million+ for 2027 while retaining a 4 million-ton LNG supply base and several growth projects (Nicaragua, Puerto Rico conversions, turbine deployments).
