I maintain a Hold rating on MKC, as the Unilever food business merger significantly dilutes existing shareholders and introduces higher leverage and integration risk. Post-merger, MKC shareholders will own only 35% of the combined entity, losing majority control and facing a fundamentally changed investment thesis. Guidance remains unchanged, but the deal's economics, increased leverage, and conglomerate discount are key risks that warrant caution.
